What Happens If The Merger Fails?

The stock of all three companies will tank and the people behind the merger will buy up the stock dirt cheap.

A new vote will be eventually scheduled and they will then have an overwhelming majority to force the merger through on the next vote. Certainly they will have an overwhelming majority to prevent any change in Management as well.

The end result of course is that far more shareholder equity will have been stolen from the existing shareholders. The only way to salavage your investment is to sell your shares after the merger goes through and let someone else be a bag holder for a change..

Make no mistake. The vote on Tuesday is nothing if not blatent blackmail.

It was well thought out and in the planning for at least a year; if not longer and I can prove it by giving you the name of an individual who is invoved in the conpiracy up to his neck.

That name is none other than Bruce C. Mitchell

it is odd that he just appeared with 9% shares and why he would hold that much as a single investor not a fund. It looks like he could be the big part of novas 10.5%. i would think that would be good news as with enough voted shares spy can defeat them on tues as there will be no other big holders to add to that. i would think that blackrock voted yes as they have added to their position.

Mitchell started buying up PACE shares over a year ago that I know of which is why I assert this merger has been in the panning for over a year. Rest assured Mitchell's shares will definately be voting "YES". It seems Tom Buchanan and Mitchell have a history together. Go back to a little over a year ago when Charger merged with three other companies. The largest company ...more

As far as Blackrock goes they are on record as saying they will not publically disclose, or discuss how they will vote which is their official policy for all their investments. An interesting tidbit I came across (don't have link handy) while reading up on Nova Bancorp was that they had to get permission from the Stock Trading Commission, or whatever they call it in order to contact investors ...more

great find tris. im sure nova contacted mostly major retail investors to make up 10%. looking at blackrocks investment, 9.2% ssgrx,  the fund seeks long-term growth of capital in global energy and natural resources, utilities. it does have dividend income in the fund and a lot of energy companies. as a fund im sure they would much rather have spy then a radical move by nova to sell the ...more

Not sure if it was after, or before the cut off date to be included in the vote. Anyway we will have to hold our breath to see how they vote.
