Just Wondering

I am just wondering, what is the real reason behind this stock split and spinout, how des it benefit the company? New investors? More people buying shares?.......Don't get me wrong I am not complaning to extra shares, and am grateful that it was not a reverse split !!! But I just can't understand company's motives behind this move at this time. Comments are welcome.
