Merged Co.’s market cap

Can anyone tell me if my numbers are  close to what the market cap will be for the combined Co’s?
Currently CL @ 16.55 C, with 37.12 million share outstanding. The price per share of OH set at $12.68 C. $1.1 B/$12.68= 86,750,788 new shares of CL, which brings CL”s a outstanding shares to 
123.8.

$16.55 x 123800000 = 2.05 BILLION MARKET CAP .

 Is this figure correct ?

Non diluted yes- but CL has 240 million (approx) shares that are not available to freely trade so the combined fully diluted market cap would be approximately 6-6.5 billion.

My understanding is that those ~240 million shares  are available but have YET TO BE ISSUED.  That These shares will be issued or used to purchase other Co.”s . The shares used to purchase OH where drawn from this reserve. That number should be ~ 140 million after the purchase of OH . NO ?

I am a little confused too, but the investor presentation suggests a market cap of 5.5 billion, and inclusive of those shares (I assumed). I upped my estimate because of the current share price. I think those shares are issued but not available to trade yet, as opposed to not issued. I think from previous CL acquisitions.

I too am confused on this issue. Happy owning OH & to be merged with CL. OH had a market cap of ~500 million. This merger propels us into the BIG BOY league if that market cap is indeed anywhere near the 5.5 billion. Would love a sideways or downward move in SP , moving money around to increase my position, but it takes time. GLTA.

Something else that caught my attention was the mention of their access to capital and institutional investors, (I think it was this audio but might have been another interview), does anyone know which institiuional investors are backing CL?

Not sure about the institutional backers BUT.. now that market cap exceeds 1B$ and the fact that the safe banking bill passed out of committe and onto the full house is a very big deal. Once that restriction is removed this sector is going to be flooded with BIG MONEY guys seeking their share of a market that I feel is going to be bigger than alcohol & maybe tobacco combined. The safe banking news was the final bit to convince me to dive in deeper with OH, from what I understand we can expect some rapid aquisitions in 2019. I had not considered a buyout of CL, are you thinking a pharma play here?

I don’t see pharma although OH & perhaps CL has IP in the medical / pharma end of the business. Personally I believe that will be a sleeper diamond down the road unless they spin it off or sell it.  Im thinking BIG alcohol type Co or BIG consumer goods  Co. etc.  I would love to see & be in on this new Co. survive & grow into the HOUSE of BRANDS Golieth that appears to ...more

The TERPISTRY is the sleeping Diamond.  IP should be huge if they can discover synergies between different terpines  & the CBD’s & THC molecules. CDB going to be in everything.

Yes the House of Brands approach is very compelling as this gives them great insight as to what sells and what the market wants, at present that AI data is gold as brands develope in the USA. Brands (especially premium brands) are where the big rec money will be made, imo and I absolutely love the idea we have a former NIKE brand executive in charge of brand developement at CL. TERPISTRY.com I believe this is part of OH. I check it every day or two.  I’ve watched interviews discussing the interactions of the different  terpines & how they are keenly interested in pursuing the research & development.
