Private Placement

VANCOUVER, BC / ACCESSWIRE / November 27, 2020 /EnviroLeach Technologies Inc., ("EnviroLeach"), (CSE:ETI)(OTCQB:EVLLF)(FSE:7N2) a technology company specializing in precious metal extraction processes with applications in the primary and secondary metals sectors, announces a non-brokered private placement (the "Private Placement") of up to 10,000,000 units at a price of $0.30 per unit for gross proceeds of up to $3,000,000. Each unit will consist of one common share and one common share purchase warrant. Each warrant will entitle the holder to purchase one additional common share of the Company at a price of $0.50 per share for a period of twenty-four months from the date of closing.

The proceeds of the Private Placement will be utilized for the acquisition of feedstock for its Vancouver printed circuit board assembly processing facility and general working capital. The securities to be issued under the placement will be subject to a four-month hold period. The Private Placement is expected to close on or about December 15, 2020, and is subject to certain closing conditions including, but not limited to, the receipt of all necessary approvals by the applicable securities regulatory authorities including the Canadian Securities Exchange.

 

Certain directors and officers of the Company intend to purchase units under the Private Placement.

You don't...  A private placement is negotiated with pre-selected investors thus the term "private".  I would expect a portion of the placement to be purchased by a private equity funder - such as Roth Capital (who was part of the private placement a couple years ago).  The release also indicated that some of the directors planned to participate. This private placemnt is probaly already sold and known for a while hence the decline of price over the last months. People they knew they have cheap shares at 30c at the end

Well, we have to get over the placement closing, and if history repeats itself, issuing of cheap options to management in December, like last year. I am still very positive on Enviroleach. Looking forward to 2021.

Anyone who is an accredited investor can subscribe for a pp if the company lets them. Sometimes people know in advance but I only heard about in in the news and sold all today for the pp. I'm sure it is filled by now because any other accredited investor would take the opportunity to average down and get a full warrant for free too. Maybe Roth, maybe not, but for sure no one knows or cares so ...more

I try to stay clear of you and let others put you in your place, but your pointed comment is rediculous.  I didn't say that I expect Roth Capital took a position.  Read it again or ask someone else who can read to read it back to you.  I said I expect a portion of the placement to be purchased BY A PRIVATE EQUITY FUNDER - such as Roth ...more

The pp is too tiny for funds to take an interest especially since ETI has sold to individuals. It's all taken up,  so stop making up a fantasy game called "guess the subscribers." PS, so what if there are private equity firms out there, that doesn't mean they have to buy this.  " I said a private equity funder (thousands of them)."

Please explain the significance of the Roth investment in ETI a few years ago and how important it was to keep abreast of that, bearing in mind the stock went straight down ever since. I don't really care whether a private investment fund bought a portion of the private placement or whether it is simply private investors.  What I do care about is insider activity on this PP.  To me, it would be quite negative if we had little or no insider inclusion in this PP, since the insiders should know the full story of risk/rewards for ETI.  The press release for the PP ...more

Bob, the public selling shares on a public market for tax purposes will have zero impact on the company. You realize when you sell your shares, another investor, possibly even me, or institution, is buying them right?
