Anyone buying this is ignorant of the convertible note

The convertible note is the biggest thing that damaged this company. With the note holder still buying millions of shares for pennies, the note holder can bring it down to 0.005 soon and this is why no one is buying the stock. The risk ovehang from the convertible note is too high, and there is no limit as to how low the exercise price can go as long as the note holder keeps exercisng it. The people that bought into the recent private placement were ignorant like many long term pre-consolidation shareholders.

I've never heard of such a deal.  That's not to say it never happens, but I can't find a link at SEDAR or EDGAR to read how this financing works.  Please, if you would, put a link here so I may read it to see how it departs from others I've read. Thanks, VP in AZ

The Note Agreement us buried in SEDAR. See NLR announcement of May 28, 2021 for details of the Convertible Security Agreement. Also check SEDAR filings around that period for the Agreement.

May 28, 2021, NR has been removed from the company Web site...That's fraud.

"That's fraud?"  I doubt it! Are there any laws regarding what has to be put up on company Web sites and what has to be maintained there?  I don't think so.  Besides, the information must still be available in public documents on regulator Web sites. But more significantly, are you just trying to change the subject?  Could it be because you can't answer ...more

It can be an arms length scam designed to maintain control over disgruntled shareholders.

Where is the evidence?  Please show me where in the note that is written or implied.  I have not the professional legal training to ferret that out for myself.  Please help me see it if you can.
Comment by Predator2018 on Sep 15, 2022 4:05pm
ValuePro, the flaw is that there is no downside limit on share price for the noteholder and as such can take it down to 0.005 again and that is what is happenning.
Comment by ValuePro on Sep 16, 2022 4:16pm
Again, please direct me to the portion or portions of the note proving this.  And can you confirm that the note holder is converting and selling shares?  Sounds like inventive bashing to me.
