Mpx and ianthus combine in all stock deal

NEW YORK and TORONTO, Oct. 18, 2018 /PRNewswire/ - iAnthus Capital Holdings, Inc. (ITHUF) ("iAnthus" or the "Company"), (CSE: IAN, OTCQX: ITHUF), and MPX Bioceutical Corporation ("MPX") (CSE: MPX; OTC:MPXEF) announced today that both companies have signed an arrangement agreement (the "Agreement") pursuant to which iAnthus will combine with MPX in an all-stock transaction with offered equity consideration to MPX shareholders valued at $835 million before giving effect to MPX International (defined below) and assuming all of MPX's dilutive securities are exercised prior to the completion of the transaction. The Agreement represents the first public to public merger transaction in U.S. cannabis history.

Does anyone know what this means for MPX shareholders exactly?
Comment by TheCasinoIsOpen on Oct 18, 2018 9:32am
"The Agreement provides that MPX shareholders will be entitled to receive 0.1673 common shares of iAnthus for each common share of MPX held (the "Exchange Ratio"), representing a consideration of approximately $1.28 per MPX common share, a premium of 30.6% based on the closing price of iAnthus and MPX common shares on October 17, 2018. In addition, each MPX ...more

Does this happen automatically, the changing of my MPX shares into IAN? I am somewhat new to investing.

Same here, new to investing. Do we hold or sell?  Can MPX rise above 1.28?
Comment by BurtyMB on Oct 18, 2018 10:07am
Selling would be dumb. On top of mpx shares For ever 10 shares of mpx you have you get 1.6 of ianthus that’s currently at 7.60! If I read correctly

We also get the new MPX International shares for MPX’s current Canadian activities. They’re small, but, according to The Growth Report on Seekingalpha: ”In June 2018, MPX purchased Canveda, a Canadian licensed producer based in Ontario.  Canveda has a 12,000 ft2 facility which can produce ~1,100 kg/year of cannabis.  The deal was worth ~$18 million, although that figure ...more

That is what I got from reading the post too. My question though, is how do we obtain the IAN shares for each MPX share we hold? Is this done automatically? Or do you have to contact the company? Thanks.
Comment by CapSix6 on Oct 18, 2018 10:15am
OK, but I read the announcement as pricing the MPX shares as of Oct. 17th. This means MPX can never go higher than 1.28, right?
Comment by BurtyMB on Oct 18, 2018 10:27am
There’s no limit on a stocks price. And yes the shares are automatically put in to your account. I’ve experienced that twice now. The latest was with Aurora, their iPo AUSA shares were automatically put in to my account

Mpx doesn’t exist anymore. You now have Ianthus shares and mpx international shares.  We won’t know the value of the mpx international shares until they officially list on the cse.  You won’t be able to sell mpx shares, you can sell your ianthus shares when they’re available.  The transaction should be automatic recorded through your brokerage. please correct me if I’m wrong

I like ianthus a lot but it’s tripled in the last 6 weeks.  Adding mpx Arizona revenue should be accretive, just not sure how much higher ianthus SP will move short term.
Comment by alphatradr on Oct 18, 2018 10:41am
What you like is not relevant to us, Ianthus/MPX.  Go do your soft bashing elsewhere.  Nothing wrong with 6 weeks up.  Long baby, watch it.  What a load of baloneys.  Spare us kiddo.
Comment by Greenscreened on Oct 18, 2018 10:40am
Not sure if it's just me, but MPX continues to be traded and I am still able to buy/sell shares of mpx.
