Mr. Clough

As the Canadian Security regulators start to close in on the BOD4 of Core Gold, I would offer you some advice.  I notice that it seems that Sam Wong has sold his Core shares, and has been very quiet indeed, after being very noisy through out the original merger attempt, with the silence starting after the judges very damning verdict.  I think he understands more about legal jeopardy than you might , and you might want to take a clue from him.

The reason I single you out from the BOD4 is that you seem to have the least to gain from supporting Titan's bid.  You hold a token amount of Core shares, and don't seem to be a big part of this beyond casting your vote.  So I can see your reward ,if Titan prevails, wont be that big and you will be well down the list of those getting that reward. But I would also think that you are just as much culpable for Board actions as your buddies: Reyes, Sedun and Bailey; because of your vote and lack of dissent.

With the filing of The Supplemental Directors Circular yesterday, it has been made clear once again that Core BOD4 has and is colluding with Titan.  Now the independent shareholders have known this since the very start of the first merger attempt last February, and it has been pretty clear that collusion has also occurred since the merger was quashed by the Supreme Court ruling.  Immediately after that ruling the Core BOD4 allowed the Vertex debt to be transferred to Titan, no doubt this was the deal Vertex made to vote their shares to Titan, and then totally unreasonably tried to reduce the conversion rate from 30 to 18 cents.  And most likely manipulated the Core share price to make it look reasonable.  Luckily the TSXV would have no part of it.

Now the thing that would really sink all your little boats is if it can be shown that there was in fact collusion between The Core Boys and Titan.  Like I said it is obvious there was. And your circular goes to great lengths to try and convince us there has not been any.  And I know there will be nothing found on your computers or phones to substantiate any collusion.  And I am sure the Core legal counsel has drilled you all on being very careful hiding that collusion.  And you, as basically a non player would have never done any yourself.  But that fact wont save you.  So do you trust Reyes and Sedun?

Reyes is very much 'in' on this Titan takeover.  And very strangely it is not for the money.  I have calculated it backwards, forwards, up and down and no way he comes out ahead money wise with Titan, over developing Core independently or with a legit partner.  He is doing it for control and vengeance.  My guess is he is third generation money. The first generation makes it by often questionable means, the second preserves and ads a little, and the third gets very ego involved which often leads to blowing it.  My guess is his ego needs the control.  And the vengeance seems to be directed at Mr. Piggott.  Perhaps from what went on at Goldgroup in Mexico.  The response that Core made to Mr. Piggott's attempt to bring in a superior offer to Titan's in March last year , was hate filled , slanderous, very personal.  Reyes, along with Sedun and Wong were behind that I would think.  I don't know how clever Reyes is,or  how many chances he thinks all his money and ego allows him to take without consequences.  But if he slipped up and someone who was very keen to see if there was collusion, has some proof , than you would be also very much be in collusion, and suffer the consequences of that.  And do you trust Reyes's , what is it cousin, Luis? He seems to be a very loose canon, but if he was colluding on behalf of Reyes, and that can be shown, then your boats are going under.

Mostly ditto Sedun.  He is very invested in Titan's plan as well, but for a bit different reasons.  The extreme antipathy to Mr. Piggott is a part of it, but more importantly is the reward. In the original merger try his reward was big.  And Sedun is very invested in getting that reward.  My guess is he needs the money.  Could drive him into making a mistake.

And Bailey I don't really know.  He will get some reward, bigger than yours, but much less than Sedun.

And what happens if collusion is proven.  And remember that the level of proof the BCSC needs to show is much lower than that in a normal criminal case.  I am no expert, and you would know better than I, but it could be possibly criminal, most likely not jail time seeing this is Canada and seeing that it is a money crime, so the most likely punishment would be big personal fines.  If it is criminal than for sure none of you will ever sit on a BOD again in Canada.  If not criminal that could still happen I would think.
Reyes could probably escape the fines by staying out of Canada; Sedun looks to have bankrupt readied himself by putting  everything in his wife's name, Bailey I don't know, and you? You would just go bankrupt too if big fines were levied?  And sure, if you have set things up, going bankrupt isn't a big deal- just ask Titan.  But you are willing to take the chance of the troubles involved for the small reward you may or may not get?  Doesn't seem smart to me.

If I were you I would be getting ahead of this thing.  Talking to the regulators, coming clean, making a plea deal. That would be smart.   But that chance is going to be very quickly gone.  And do you want to be known as the guy that helped, and hopefully failed, a criminal, murderous (Tulin) bunch of lying scammers from Australia, take over a previously struggling but seemingly winning Canadian company, and wiping out a bunch of long suffering pensioners, who valiantly fought against you, and who you were entrusted with the responsibility to protect against this exact thing? And also helping a couple ,Sedun and Reyes, scum bags destroy their own company for personal gains. One of them being a failed venture capitalist, the other a corrupt and ego driven fool from Mexico.  Whew, quite the legacy.  Now even with the regulators getting involved, this probably wont make page one of the Globe, or the CBC National, but you can be assured every mining person in Vancouver will know your name soon, and lots of other business people.  Not how I would want to get famous.

Ronnie...good call...particularly about Reyes and Sedun. I've felt the same way for a long time. This isn't about money for them. By any metric you want to use, they both could have been rich beyond most people's wildest dreams had they worked towards developing the assets for Core and it's shareholders. The big 3 properties...DGF, Copper Duke and Linderos could easily have 3-5 ...more
