Questions

Hey All. I was wondering if anyone is in the same position as I. I hold my position in Core in the US on the Nasdaq as i am a resident here. I'm a little confused on the tender deal that Titan has proposed to US holders. It appears that we can only receive cash and that will be done after the 3.1 share conversion and that Titan through Cannacord will sell them . They dont state the timeline for doing this. And that the price cannot be guaranteed. Has anyone done this altready? And any suggestions on what you all are planning to do ? Should we hold out and wait or tender now? I'd tender now if I knew i'd be getting the A$.18  per share. Any thoughts would be appreciated.

If they manage to get to 66 and 2/3 protection of minority shareholders is very relevant. So can they delist? It is an open question if delisting is successful. Probably over 30m shares will not accept. It could be stuck for months or much more. If successful RJM my thought is you would get just pennies per share and not 18c Australian.

Yes they will get to 66.7% and yes, very easily they can delist Core and they absolutely will do.  I think you will be shocked with how much control they will get.  Good luck being a minority shareholder in Coregold once it is delisted.

I only see these pipe creeps when they are trying to scare off investors. That again brings out the point: will they get the shares required? Since the needle didn't move much over the past few weeks despite the volumes my take is that competition is here and won't budge easily. This show is still playing. The curtain may not drop at all.

The whole situation from both sides, Coregold and Titan has been put forward to confuse honest shareholders. No communicaton, no answers. Circular reads stuff like " best efforts" " fair value" .  WTF does any of that mean? Phone Coregold or Titan. Tell me if you get an answer. This is the biggest scam in full view of regulators. BCSC is a joke. Their  track record on ...more

RJM - I also live in the US and have the EXACT questions. I also would take 55 cents Canadian converted to US cash in a heartbeat, but I also don't think that would happen. In my heart, I know that the 18 cent Canadian market price is a SCAM, and as soon as the merger goes through Titan stock will crater.  If you find out more info, please let me know, but as it stands now, I am NOT ...more

Yes, There is no good reason for tendering your shares. If you do, whatever happens next, you will have traded, irrevocably, the full ownership of one Core Gold share for three shares of Titan which will give you an indirect ownership of roughly 60% of one Core Gold shares plus an ownership of Titan assets i will state it differently to make sure it is very clear for everyone: For every ...more

Hey Coral. I have posed many questions to Gryphon Advisors for answers to these questions. It's been a few days and no response. I have tried again today. They're probably not inclined to answer and leave things vague and keep the investors guessing or confused. I too do not intend to tender my shares. I do not trust Titan or anything they say.

Thank you both RJM316 and Spiritflyer for your responses. If Gryphon ever responds, or you find out any other pertinent info relative to US shareholders,  I hope you will share it with the forum. I am embarrassed to say I paid over $4.00 for my Dynasty stock. It seemed so promising at the time, yet it has been my worst investment EVER.

Thank you for your thoughts CoralCalcium.  I do believe the shareholders of Titan will never see any benefit even if they owned all of Core Gold.  The lack of resources by Titan, and the amount they now own will kill most of any profit to their shareholders.  The people who run Titan are well known to take the money and let the company collapse as they have done multiple times ...more

Well, it would SEEM that US share holders would get the cash payout as stated, but not until things close; however, given the utter lack of integrity and the apparent disdain for shareholders held by both the Core Board and the TITan board, I figured they would find away to return pennies on the dollar I would have thought to get in the cash payout, so that is a big reason why I sold (did NOT ...more

If Titan was required to pay cash (instead of shares) to any non-Canadian shareholder, wouldn't the deal already be dead because Titan would have to give Javier Reyes (and his very Mexican friends and family that hold shares) cash they don't have for their tendered shares? It's also entirely possible Anonymous (that is gobbling up all the shares) is a non-Canadian actor that believes ...more

EDX it's just not anonymous it's CIBC and a couple of others too. So getting to the 66 and 2/3% and beyond may be quite a challange. None of these people will want Titan paper. Titan has no cash (except debts) so what can they offer? This story just gets longer and longer. It could well be weeks or months especially if a legal challange comes along.  The first 50% were all the same ...more

It may appear that Washer holds the keys again, even assuming that all Anon is Titan friendly they need him to go over the top. I believe they need about 20M shares from their last update, and offering favours only goes so far, especially when the vultures are also circling.
Comment by Spiritflyer on Jan 22, 2020 11:29am
Thanks for a great thought of an alternative that I never considered.  It would be definitely interesting for the whole "saga" if a foreign entity suddenly said I want cash for all the shares I have scooped up.  That would toss a huge wrench into the fray. Did anyone notice how magically Titan seems to always rebound within a day to the 18cent mark though the last bid was 15.5 ...more
