I'd say there is a 80% chance enb sweetens the bid to 33.00 and changes it to an all cash offer. They enbridge realize there is a much better chance of success with a better bid. The bid as it now stands would probably get voted down......and only if enbridge stock rises too 50.00 would a share swap ever be acceptable.

Zero chance of a cash component in the offers, I think. If ENB isn't using shares it would have to borrow for the cash ... which aggravates the debt concern. .
