Ok. The giving of shares part is obvious, instead of cash. Exclusivity agreement license usually means the exclusive rights to use something for a specific period of time. They are getting in return the exclusive right to some sort of label, packaging, device, name, trademark, etc. Exclusive means them only. No one else.  Other than that we are in the dark.
