Counterclaim

How a claim can be "indemnified" by a spinout co. with marginal assets is beyond me. No courts would ever allow that to happen. My worry is that by having this transaction move forward at this time Alpha loses value in the long run. I'm personally voting no for this reason.

The verdict of the suit and countersuit seeminly will depend on Dahrouge's role in allowing some of Fission's claims to lapse (not PLS).  As a former president and director of the company he had to have had input into the decision unless he excluded himself from the process.  I presume Fission will contend that they did not abandon their interest in the claims and that Dahrouge ...more

Lawsuites can`t be "transferred" FCU spinco could be broke by the time this sees a court room and mergeco will be liable. Interesting the claim also talks  of securities violations. FCU/FIS always moved up the day before a good news release so someone was front running
