ACT long ago owned FAF by default.

ACT simple waits until the share price is under (?) pick a number; let's say $0.20, and then excercises all of it's rights; whatever they are, but assureldy, they are many and all that will be required to put FAF into insolvency.

ACT may or may not make a public offer for shares. Again, pick a number; let's say $0.10 (can somebody do all the split-split math and come up with what $0.001 would be) or simply lets it go to zero.

This one is over. Always remeber it...

of course that could happen but with a bankrupcy ACT would loose is investment of well over $ 30 M i think it is simpler and way cheaper to exercise their last warrant at the end of June to buy the last 15 % for less then $5 M ....any way we will see all that unfold before the end of June if yes or no ACT exercise that lat warrant or not !

I think your bang on. In the last financials transcript they said that they have 5-10 more stores at circle k along with some m/a's. so if they are still working togther to have a master agreement drawn up and co-located stores being built, I would assume they are on board and will excercie their warrants. They will have to adjust the cost of the warrants. But there is nothing but positive ...more

You think the same as me . Let's see if we are right at the end of this month . IMHO they have more to gain by buying the last 15 % at a very low cost then trough the company under the bus to buy the assets ....i am actively buying also at those prices and it is lowering my cost by much ... The last warrant is 20 % higher the the average 20 days before they excercise it ...as of today it is ...more

Can't see ACT buying fire and flower. Most of the countries they operate in cannabis is illegal. They know it's big Buisness once this carnage comes to an end and the market right sizes itself. That being said I believe they are vested and will make sure thier investment is fostered. Especially since they just signed a master license with 5 stores being transferred into the fire and flower ...more

Look on their website and read their SEDAR filling on May 23 th 2023 it is all there : the annual meeting on June 22 th and you will find also the mentioning of the last warrant ACT has for taking the majority of the company before June 30th 2023 at the price of 120 % of the last average price of the last 20 days .They have now 35.7 % ..the last 15 % will be as of today around .30

The Series C Warrants are exercisable between October 1, 2022 and June 30, 2023 at an exercise price equal to the lesser of (A) $30.00; and (B) 125% of the 20-day VWAP of the Fire & Flower common shares on the last trading day prior to the date on which the Series C Warrants are exercised.29 avr. 2022

Well that's great. So they can exercise those warrants for a super cheap price. They would be crazy not to, considering the skin they already have in the game. Only time will tell, but they have already tilted their hand and have shown thier intentions. Goodluck.

Very good question ....i follow FAF very very closely as i have a substantial position on it . The CEO in the last 3 months has repeatily been saying only positive things : getting closer to be cash flow positif , MEGA franchise deal with ACT for the whole planet , 3 months in a row where the gross margin is going up , several discussions about making several acquisitions at a decent prices etc.. ...more

I wouldn't worry about that right now. ACT would lose a substantial amount letting it go bankrupt, for two reasons. One they have a good amount in the game, second they can't purchase it outright. Some of the countries they operate in, cannabis in an illegal substance. I can't see a company like ACT buying until atleast the states re- schedules it. I would think at todays prices they ...more

Very good post ...but you speak with logic sometime is just not enough ...if they are mean they could make it worst .. Any way it a little more then 3 weeks the story will unfold and we will not much more ...i am still bullish but that is thinking with my logic ,,,

If ACT buys fire and flower, they will keep the companies separate and the stock will be on its own. They won't want the exposure of owning a cannabis company. They will do like every other company, have a partnership and or access to purchase the comany outright with warrants. If they do buy the comany I think they would keep they at arms reach and spun out from the ACT name. Which will be ...more
