Becuase a bird in hand is worth two in the bush...    The mine has to be fully financed, built and put into production. All of that resource is also uncertain. So much has to happen. And so much capital has to go into it. Capital GLDX doesn't have and would be required with significant dilution.  All shareholders should be happy with the proposed deal.
