proxy forms and questions

Just got the proxy forms from TMX and one of the resolutions for voting concerns amendments to the company bylaws, which are supposedly "described in the accompanying Management Information Circular". There is no such accompanying circular. I have searched the company site and even tried Google, but no luck. Can anybody help?

Another resolution concerns executive compensation, but again, no details that I can find.

Harte Gold has chosen to use notice-and-access to provde the information. Information can be found at www.sedar.com or https://docs.tsxtrust.com/2130 these direction are on the back of the voting form under Notice-and-Access header.

Thanks for that. As I stated in a response to Fred a day or so ago, I have some difficulty making sense of the fine print and legalese that we are having to deal with. I have read the circular and other items and I have to admit that my head hurts. I would welcome comments or explanations from anyone who has a handle on the bylaw changes and executive compensation paragraphs.
