On Page 49 of 449 (xiv) Confirmation of no collusion.Each auction bid should include confirmation by the qualified bidder that it has not engaged in any discussions or any other collusive behaviour with any other potential bidder or qualified bidder regarding the SISP.If you read about the series of events,that is exactly what took place.Silver Lake and Appian had discussions behind the monitor's back, made a deal between themselves and subsequently refused to take part in the auction.Looking out for number one.Themselves.

Yes indeed,the whole process was very shady and meant to keep the ball rolling with no disruptions to the operation.And to make sure the big boys got theirs.The path forward eliminated the pesky shareholders.Who are they? Nobody in this case.No shareholder approval needed.Steamroll over them and continue on.

Unfortunatly when it comes to standing up to bigger dogs our court system usually puts its tail between its legs and rolls over. Would be nice to see them make a stand and send a message that questionnable actions should be deterred instead of normal practice.
