EDGEWATER WIRELESS ANNOUNCES COMPLETION OF PAYMENTS OF DEBENTURE INTEREST

Edgewater Wireless Systems Inc. has settled its obligation to pay an aggregate of $18,047.12 in interest as of June 1, 2024, and $18,047.12 in interest as of Sept. 1, 2024, to the holders of its unsecured debentures issued Sept. 1, 2022, through the issuance of an aggregate of 360,936 and 360,936 common shares of the company at a deemed price of five cents per share. The shares are issued in full satisfaction of the June 1, 2024, and Sept. 1, 2024, interest payment obligation in accordance with the terms of the debentures. The debt settlement has been approved by the TSX Venture Exchange.

Certain directors of the company received an aggregate of 69,565 and 69,565 shares, and therefore, the share issuance constitutes a related-party transaction as that term is defined in Multilateral Instrument 61-101 (Protection of Minority Security Holders in Special Transactions). The company will rely on the exemptions from the formal valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101 as neither the fair market value of the shares, nor the debt exceeds 25 per cent of the company's market capitalization.

A lot of chatter on the board, eh! Not! We left the crummy month of October with nothing and we have entered a good day for the month of November and we get nothing. Nothing + Nothing equals Nothing.  When's the next quarterly -- at least they will be forced to say something. But all this "nothing" is suggesting we will get more of the same i.e. Nothing. Well LGRN I have owned shares in YFI for twelve years -- have you? Can you tell me that at 4 cents a share it has lived up to its expectations as the "leader" in its industry? Do you actually own shares in YFI or do you just appear occasionally or frequently to stir the pot? Tell us all what their successes are in the 12 years that made them the leader in their industry or are they ...more

Age isn't what is used to categorize people like LGRN. It's where he falls on the spectrum and how he scored. You would be surprised at his age by the type and content of his posts but when you learn his is is barely 80 or makes sense.

At the end of 2011 I did not think I was buying YFI shares for my grandkids but it looks like it may happen that way --- that is if YFI survives from this 4 cent level with no income/revenue. It has not been the type of investment you make long term plans on. That brings up another old saying, "I bought it on a wish and a prayer" -- is that where you are at?

You keep telling me to sell at 4 cents -- what's up with that? My ACB is 4.5 cents so you want me to sell at a loss. I have sold many times over the 12 years. Missed the top price but have hit many prices between 7 cents and 59 cents.in various quantities but have not sold any in at least 5 years. It took a run around the end of 2020 and the beginning of 2021  boosted by the Proof of ...more
