Even taking a little less than fair value would be ok because I think we should contribute some in good faith to make the deal work for everyone , but 15 cents is not in the cards

might add I do not want cash , I want POU stock and MGM valued at close to fair value

Like you, I have no problem with POU stock.  What I have a problem with is the conversion ratio of 300:1.  Fair value would more like 10:1 and that is not going to happen from POU.  No matter how you cut it, if POU takes over MGM we are not going to get a good deal.    POU is going to get a steal of a deal if someone else doesn't come up with a much, much better ...more
