Kontrol Technologies Engages Digital Offering for Capital Ma

i know nothing about listing a security in the USA but this consideration is a little excessive no?

I've had other companies do this that i've owned shares in but it was just a one time fee.

In consideration of this engagement, Digital Offering will be paid an initial fee of US $25,000 and, upon completion of a successful US listing, an additional payment of US $175,000. Additionally, Digital Offering will be granted 400,000 consultant warrants exercisable for 5 years with a strike price of CAD $4.80, subject to exchange approval.

The actual filing is probably just the simpler part. I believe the value added component is raising awareness with influential investors.

I don't think so.  BUS.V also engaged them in December 202 and they issued 1,000,000 shares at 1.75.  They still haven't listed in the Nasdaq (targeting May) and they had a bunch of accumulation from US investors in January this year and are currently trading more than double at 3.70.

There is a $5 a share price requirement to list Nasdaq. Does this still seem odd to you? It is surprisingly legal and how the game is allowed to be played. should this company fail they lose - should they succeed everyone wins. A lot of money but hardly "expensive". All good. This is buying something. The ticket to ride..

Agree and don't forget these are warrants.  So if they covert them to 400,000 shares they have to issue a check to KNR for almost $2M to buy the shares at 4.80. they only make the difference from 4.8 and whatever it is trading at when they sell in the next 5 years. seems reasonable.

They also raise this money without all the brokerage and finders fees that are part of a PP. I think it's a reasonable deal, too.

There are different criteria you can meet. In terms of the SP, it is not only one level for all cases.

 What I was suggesting is that share price of 4.80 was agreed on for a reason. Not 2.80, not 3.80. I don't see your point.

I was not quite clear where this thing was heading. It sounded like based on a level for Nasdaq listing, around $5. But my point is that there are different SP levels that you can meet to be listed on Nasdaq if you meet some other criteria differently. As to how $4.80 was agreed? Could have been agreeing to round to the closing price of the day before they issue a newsrelease. So, from that ...more
