8% Brokerage COMMISSION On FINANCING Is ON THE HIGH SIDE !

- SHOWS that Verses had LITTLE BARGAINING ROOM and that they were VERY ANXIOUS to EXECUTE the EQUITY FINANCING so FAST CASH was a PRIORITY

In connection with the Offering, the Company paid the A.G.P. Canada a cash commission equal to 8% of the gross proceeds of the Offering and issued to the A.G.P. Canada or such selling agents such number of compensation warrants as is equal to an aggregate of 8% of the number of Units sold pursuant to the Offering (the “Compensation Warrants”). Each Compensation Warrant is exercisable into a Unit at an exercise price of C$1.57 per Unit until January 9, 2028. The cash commission and the number of Compensation Warrants was reduced to 2.0% in respect to the portion of aggregate gross proceeds of the Offering attributable to subscribers identified by the Company.
 
another QUESTION:

- WHY on Earth are they PAYING 2% BROKERAGE COMMISSION to the SELLING AGENTS (including AGP Canada) to the PORTION of the OFFERING where the QUALIFIED INVESTORS were "identified" by the company ?

* they 'should' of SIMPLY CONDUCTED a NON-BROKERED PRIVATE PLACEMENT with these IDENTIFIED INVESTORS with the SAME CONDITIONS WITHOUT the COMMISSIONS COMPONENT

8% is the standard average rate, not high or low. Keep in mind they accepted and received broker warrants exerciseable at same $1.57 / per share in exchange for the cash. This means they have vested interest in the share price appreciation and may earn them multi times its cash. As for the 2% , commission to existing investors, this is a normal practice and they call it a "Presidents list ...more

Sorry my bad..brokers received 8% cash payment and broker warrants in deal. Normal transaction..
