Noranda Income Fund is a Canadian based income trust. The fund owns the electrolytic zinc processing facility and ancillary assets located in Salaberry-de-Valleyfield, Quebec. It produces refined zinc metal and by-products from sourced zinc concentrates. The fund's long-term objective is to maximize unitholder value and provide monthly distributions to unitholders.

Noranda Income Fund Unit > nomination to BOD

nomination to BOD

As an earlier post has said, the present 4 independent directors have been at best feckless in standing up for the interests of non-Glencore shareholders. We need at least one independent director who has a strong vested interest in restarting distributions and driving up the share price and has the personality traits needed to make his/her positions prevail. A strong vested interest would of course come from owning or controlling a major block of shares. The most shares held by a current independent director is 35, 000*, a number completely insufficient to incentivize the kind of representation we want in the face of other pressures or inducements. Could Daniel Lau, holder of about 4.5 million shares*, be persuaded to either sit on the board or nominate someone to represent his and our interests? Does anyone have contact information for Mr. Lau?

Mr. Lau works with Qwest Investments and would IMO be an ideal candidate for the BOD. He is also a lawyer , I believe. I have already sent him a note to see if he has an interest in pursuing a seat in order to better represent the NIF shareholders. No answer yet and may not get one..... I will pledge my 23.5k shares gladly but not sure how we proceed frrom here..? How to communicate?

Per a letter received from one of the directors many months ago, NIF is not governed by the provisions of the Business Corporations Act (Ontario). Rather NIF is an unincorporated open-ended trust established under the laws of the Province of Ontario pursuant to a trust indenture dated April 18, 2002, as amended and restated as of December 12, 2011. I don’t know what this indenture has to say ...more

Unfortually, i need to give time to my private compagny at the moment with christmas and the opening of a 2nd business place in Shawinigan. But in January, it's should calm down and i will be able to get in involved again. Regarding Mr Lau, he's a passive investor, i would highly doubt he would get to the board. And regarding the language.. It's depend if you search for someone that ...more

I would like to see BigBird or ZincDinc nominated. They strike me as being most knowledgeable about the business CEZ is in. There are a couple of others on this Board who would be good nominations as well. With regards to speaking to employees of CEZ in French, this is also very important and I think there are several on this Board such as Eric who could do a good job at this. My sense is that ...more
