There is definitely dilution.  When shares are issued from the treasury they are added to shares outstanding.

to the float, yes, not outstanding. they are included in total outstanding fully diluted.

Once the private placement shares are free to trade in the open market (after the typical 3-4 month restricted period), they are treated just like any shares you may have purchased in the open market. They are taken into consideration for EPS etc.  They are included to the outstanding shares calculation.  If EOM gets bought by another company these shares get the same peice of the pie ...more

At the end of the day it doesn't make a difference.  It can be a brokered private placement, bought deal, non-brokered private placement, new issue, secondary offering.  The fact of the matter is that there is dilution.  All shares offered through any of the means mentioned above result if greater shares outstanding.
