There is definitely dilution. When shares are issued from the treasury they are added to shares outstanding.

to the float, yes, not outstanding. they are included in total outstanding fully diluted.

At the end of the day it doesn't make a difference. It can be a brokered private placement, bought deal, non-brokered private placement, new issue, secondary offering. The fact of the matter is that there is dilution. All shares offered through any of the means mentioned above result if greater shares outstanding.
