Pursuant to a resolution passed by shareholders on May 22, 2018, the company has changed its name as follows. There is no consolidation of capital.

Effective at the opening on Friday, July 27, 2018, the common shares and common share purchase warrants of Newstrike Brands Ltd. will commence trading on the TSX Venture Exchange, and the common shares and common share purchase warrants of Newstrike Resources Ltd. will be delisted. The company is classified as an other crop farming company.

 

Capitalization:  unlimited shares with no par value, of which 552,539,185 shares are issued and outstanding

Escrow:  186,464,330 shares

I'm going to take a shot at this...when the stocks are in escrow the intent is to prevent the stock owner from flipping them and bailing on the company...ie HIP issues 1 billion share to me because I can see the future and that is valuable to them BUT to cover themselves (like an insurance policy) hey say you cannot sell them until you meet certain milestones, otherwise you forfeit the shares.

That could be a scenario. Whose shares are they though ? That is a lot of shares ! I can only imagine that they are the property of the "underwriters". If this is true though then why not make that clear in the prospectus ? Perhaps it is there somewhere ? If they are being held because of an impending deal that is another thing. My point is we don't know anything more than there are ...more

Wow. My very simple question has never really been answered except by definitions of what escrow is. Perhaps I can try again by asking the question why not what ? Why are these shares in escrow ? No one apparently knows, and so to make this declaration as though it is specific news in itself to me just smacks of either sheer ignorance or a desire to manipulate. Care to enlighten us guru ?

We can assume that the escrow is the brokerage company you hold your shares. The term escrow likely refers to options granted and the warrants which are technically not shares yet.

Escrow just means that the shares were sold to a third party but they are not free-trading yet. So nothing is any different than it was yesterday or earlier this week...

rather - shares were bought but there is a trade restriction and held in escrow. Escrow would be your brokerage company - third party. So when the shares are free-trading then there is usually additional supply and selling pressure.
