Ok, so I have had some back and forth with NewStrike IR. They have yet to respond to my last email looking to clarify the what would happen under a specific scenario however they did confirm that votes not cast would not be counted.

Another important note that was eluded to is that ONLY holders of common voting shares can actually vote.  Any of your holdings of warrants will not be counted in the vote, this is the nature of warrants.  If you hold a mix of both Common Voting Shares (what we trade here @ apx 54 cents today) you can only vote with the shares, again, warrants do not count in a vote.
 
Here’s MY INTERPUTATION of the response, this is NOT part of the response from HIP IR;

The vote will be decided by votes cast, therefore there will be a requirement for a minimum of 66 2/3 votes in favor of the merger for the merger to proceed therefore it is IMPORTANT TO VOTE regardless if you are FOR or AGAINST the deal proposed.

The deal also requires a simple majority of votes in favor of the deal proceeding from those attending the special meeting.  Again, it is important to be involved here and to cast your vote, whichever way you may want this to go.

Disinterested Shareholders simply refers to shareholders that are not considered Insiders, so disinterested is essentially average joes.

Additional Transaction Details

The Transaction will require approval by (i) at least 66 2/3% of the votes cast by the shareholders of Newstrike; and (ii) a simple majority of the votes cast by disinterested shareholders of Newstrike, present at a special meeting of Newstrike shareholders.  HEXO has entered into irrevocable hard voting support agreements with each of Newstrike’s directors and officers, along with certain other shareholders of Newstrike, representing in aggregate approximately 25% of Newstrike's issued and outstanding common shares.

Mozz, I did not specifically ask is there was a special clause.  The question I did not get a response to was in regards to what would happen under a scenario where there was a minimum level of votes cast.  I'm pretty sure the man answered my question, I really don't want to go back yet again and ask about a special clause.  If you have a link to share then I would go back ...more

I am ok, all things considered..  Also  what T F. is with the.02-.03 cent lag behind the conversion FFS...  How about .02 or 03 cent lead on conversion!  Like I was saying HIP shareholders deserve a little sniff of the powder here..   JMO

Hey Mozz, Sorry for the delay, I had to step away from the computer and take a break.  Anyhow, I did ask if votes not cast were counted as a YES / approval for the merger.  He simply replied to say that votes not cast were not counted.  I take that to mean that, literally, they are only going to consider the votes that are sent in.  So, with this understanding, if only 100 ...more

Mozz I'm pretty sure I was beating the question to death with my emails to Dennis.  His response was that votes not cast would not be counted so anyone not responding is simply not counted.

Now... let see this forward momentum,   Hip shareholders deserve to see the value in this deal!   Not f-ucking .10 cent gain from where we where brought down to.    Not massive walls put up on the ask to keep SP in check.
