Iron Bridge Board of Directors to Review Unsolicited Tender Offer from Velvet Energy

Shareholders Advised to Take No Action Pending Review of Offer

Iron Bridge Resources Inc. (“Iron Bridge”, “IBR” or the “Company”) (TSX: IBR) today confirmed that Velvet Energy Ltd. (“Velvet Energy”) has commenced an unsolicited tender offer to acquire all the issued and outstanding common shares of IBR at a price of $0.75 per share in cash (the “Velvet Offer”).

The Iron Bridge Board of Directors, in consultation with independent financial and legal advisors, will carefully review and consider the offer. Shareholders will be promptly notified of any recommendation of the Board through a news release and circular in accordance with the applicable securities law.

Shareholders are urged not to take any action or make any decision with regard to the Velvet Offer until the Board has had an opportunity to fully review the Velvet Offer and to make a recommendation as to its merits.

Iron Bridge noted that the proposed $0.75 per share offer price is identical to the proposal received from Velvet Energy on May 13, 2018, which Iron Bridge previously stated does not reflect the value inherent in the Company, and it is below the current market share price of Iron Bridge.

Review should have taken all of 10sec. 0.75 is a bs offer. Attempting to pray on the week. But the week are selling into the open market anyways. Velvet, shove the offer up yours. Come back when you have something to really offer.

Velvet can accumulate up to 19.9% prior to announcing a takover. Fact is they may have been purchasing shares for quite a while now. All of the volume may have been purchased on Velvet's behalf. We really dont have any idea how much they already own. I think they probably had a really good head start prior to announcing their offer.

I believe the magic number is 10% ownership of the share float before Velvet would have to publically report share purchases - not to say that brokerages can't be accumulating "on behalf" of their bed partner I guess.  Games can and will always be played by the wolves at the door.  Velvet can certainly buy more shares from others stupid enough to sell now if they want - but ...more

If IBRs land is as valuable as we all seem to believe, then I'm sure Velvet isn't the only one that may have been accumulating. Since the RMP days, when we were in the 2s, their was talk about buyout. Management then screwed up big time and oil was being killed. The buyout went away... So two things IMO will happen. Current mangament is pulling the cover over ours eyes and are going to ...more
