That all makes sense to me. 33% Yes vote PLUS what the executives and original investors own (those who got in for pennies) may give them the 50%+ they would need to carry the deal. Executives would all be rolled into the new company and well taken care of. I dont know the share structure but seems to me like the Digigro deal is to protect core investors.
