Termination Payment

then the Purchaser shall pay or cause to be paid to, or as directed by, the REIT an amount equal to one hundred and sixty million dollars ($160,000,000) (the “Purchaser Termination Payment”) by wire transfer of same day funds to an account designated by the REIT promptly but in no event later than three Business Days after such termination.
