Input on my logic please

So, ive looked at silvercrest for acouple of days now and did a little bit of research. Everybody seems mad about the buyout/merger. But i just did some math and it doesn't look that bad.

SVLC is at a price of .82 right now
Firs majestic is at a price of 2.98

The deal states that shareholders will get .2769 common share of first majestic and .13669 share of new svlc.
this gives a value of (2.98*.2769) .825162 per share of silvercrest in shares of AG.
Then on top of that you get 13.6% of the value of whatever new silvercrest is worth. If it doesnt go down in value then it would be worth (,82*.1667) .136694
On top of that all shareholder get .0001 in cash money.
This makes the value of a SVLC share after merger at .961956!!!
 Thats an increase of 17.31%

Please correct me if I'm wrong, but to me it seems like a bi**hin deal and that most people just don't realize it for some reason.

The case is this doesn't meet the point why people are upset about that merger. Sivercrest was one of the very few mining companies which generated a profit for the last quarter. And in direct comparison to some bigger mining companies it becomes clear that the operation on the mine has a great performance in the grades and production rates in regard to the costs. Without the release of the ...more

Got it, but also wasn't svlc's profit enough that if they get taken over by AG then AG would actually have a profit also?

Management wanted out plain and simple.  I started losing faith in the future of the company after the huge miss in the first batch of drill result at Ermitano.  Funny how nobody is talking about the expecting drill results at Ermitano?  SVL only released ONE batch of drill results in 20 months of ownership of the land package!  That is unacceptable as a shareholder.  At ...more

ch08532, so you are saying that mgmt. did the best  thing for shareholders with this buyout, given that they were a one trick pony with limited mine life. You could be right.

As usual I pretty much agree with your thoughts. I also have had my suspicions about Ermintano however we're not certain at this point if that ground is feasible or not. Ermintano will be rolled over to First Majestic and perhaps they will take hard look at it as they may with La Joya.

In times of crashing prices for precious metals the first task of the management was to ensure that the production and the costs for it would be as good to reach the break even point to secure profit. And this was what the management managed in a great way, congratulations! Silvercrest was one of the very few who closed the quarter with good profit despite of the fallen prices.
