GCM Mining To Acquire Aris Gold At No Premium To Market

Consolidation continues to occur in the gold space, with the latest deal oddly seeing no premium provided to shareholders. It was announced this morning that GCM Mining, which was formerly known as Gran Colombia Gold, will be acquiring that of Aris Gold Corp. The resulting entity however will continue under the Aris Gold banner, with Aris’ management predominantly running the operation on a go forward basis.

a lot of gcm holders on this board got their wish. serafino no longer face of company. well known names Neil Woodyer, CEO people wanted gcm board of directors to be changed. that was mostly changed with Ian Telfer as Chair now. name changed to Aris Gold, no more colombia in name. better management names, discount from any bad reputation of gcm management names will disappear. more diversified, ...more

once built Marmato will deliver good profit at low AISC  ...combined Segovia + Marmato will deliver good cashflow for expansion into Toroparu ...     for me it looks a bit Toroparu could be delayed..very passive wording about this asset ... i thik they will need the cash + cashflow for Marmato -expansion first... agreed, gcm shareholders got diluted in this manipulation but that is made up for with the new management Neil Woodyer and Ian Telfer who have much better reputation so they can get a share multiple much higher than old gcm management ever could. plus old gcm management cannot do any more damage. Woodyer and Telfer should get better price for acquisitions like how they acquired gcm at crazy low ...more

read the presentation... appr. 130 million shares outstanding after the deal ... at this prices the warrants will become worthless and will not tranferred into shares ... the combined company looks cheap at all metrics .. good cash-balance , good cashflow and Marmato.. end of 2024 Marmato expansion in production ...  ---combined marcetcap is way too low for such a superb growth-profile....& ...more

now we know why gcm buyback  nothing at this low price they propably make sure the stock stays low for the 2 to1  ratio we all know there are much more value then that in the gcm share

That doesn't make sense rotax1. If they bought back shares, the ratio would have been more in GCM's favor. Eg. $4 GCM $1.65 ARIS would have been roughly 2.4 ARIS shares for 1 share of GCM. Both companies were probably restricted from share buy backs as the deal was being negotiated so they couldn't manipulate their share prices.

be happy Aris was @ 1.65 CAD recently .. some months ago aris was near 2.5 CAD ...   i think its a good ratio for all and all the warrant overhang is gone ...   i don't think the 2024 warrants will come into play here ...     the new ARIS has a tight float and only 130 million shares outstanding...   its an easy double from here

Which set of warrants are people talking about? ARIS.WT warrants expire July 29th, 2025. $2.75 exercise price. They could conceivably be in the money by then at $5.5/share (1 warrant for every 2 out there now). GCM.WT.B warrants are already in the money with a $2.21 exercise price. they get back a lot of cash if warrants are exercised, which can go toward accelerating projects. getting back cash at $5.5/share is good when current share price is in $3 range. it also means share price would be over $5.50 if it gets exercised. the sprott warrants that are over $6 have a good chance of expiring worthless unless the share price shoots up which is not all bad. looks are a large ...more

the problem is.. GCM gave away 56% of Marmato and now the get it back for more diluton .. GCM gave Aris a lot of money for Juby and SOTO    ... old management wasted shareholders money ... i hope these projects are worth this money and new management will stop such transaction in the future ...  yes , GCM is highly undervalued now ...    but we could own all these projects ...more

it is impossible for gcm to own all these projects with 60 or 70  million shares outstanding, simply because gcm went from 62 mil to 98 mil shares because of the merger with gold x. gcm used cash to buy aris shares and debentures, so there was no dilution of gcm shares yet, just dilution of aris shares. going from 98 mil to 130 mil shares is the merger with aris. that 30 mil extra shares is ...more

Serafino is out. The new management team is world class. Neil Telfair was CEO of Leagold Mining and Endeavor Mining. Ian Telfer was chairman of Goldcorp. Investors really need to give this company a good look. The value post combination is incredibly low given they will have 250k ounces of production with 3 growth projects. Just in case someone calls this out, Maramato will take total production to 400k ounces per year including existing production from Segovia. Maramato on its own should yield 200k ounces per year roughly...

Hum  ...Neil Woodyer 77 and Ian Telfer 76 ... A new team not really youger than the precedent one. They have to deliver here before being called  worldclass people . Past is absolutely not the garantee of the future . telfer did it several times, as i listed in previous post. he is good at selling an asset for more than it is worth, unlike davies the weak cfo who gets the short end of the stick with every deal he makes. woodyer did it once with endeavor mining. leagold share price was around flat before merging with equinox. it was not undervalued but at fair value. woodyer can at minimum take an extremely ...more

hilariously ridiculous. the cfo is the guy in charge of these dilutions. he is in charge of financials. a good cfo does not just try, he actually does. if a ceo wants to do massive dilution, a good cfo would just refuse to do it.
