Why did the board allow Chen to destroy BB?

The big question that is being asked is why did the board not exercise their fiduciary duty and remove Chen. Chen clearly destroyed BlackBerry and the board went along with it.  Were they bribed with free shares? Are they incompetent?  To allow 50 billion in market cap to be erased and do nothing is completely negligent at best if not criminal.

Chen was brought by watsa, atleast now they are not repeating the mistakes and are paying watsa their debenture money
