i have no idea why Alstom insist on including x numbers or Alstom shares at 47.5Euro to be included in the proceeds of the deal with BT, and why sh. Price was determind many many many monthes before the closing!!!! they do not run out of ways to scr*w bbd

Its because the value of BT was fixed the same day too. Its impossible to fix the value of BT and the counterpart the day of the transaction.  The Alstom shares was a part of the payment and this value has to be fixed as it was cash, the day they signed the final final agreement (sept 16 ). Including Alstom shares facilitated the financing of the transaction for Alstom and\or allow Bombardier

When Alstom raised the additional capital to buy BT  ~ 45 days after September 16,  they issued a disclosure statement on the potential share dilution of the BT transaction.  They said the agreed upon range was 500M to 650M Euro to BBD and 1.93B to 2.08B to CDPQ which divided by the respective share prices, determines the range of the total share dilution between BBD and CDPQ namely

Here is the answer:  At the maximum of the transaction value of 2.08B for CDPQ (range in agreement is 1.93B to 2.08B) and 650M for BBD (range is 500M to 650M Euro), the average price paid per Alstom including the 700M Euro in additional shares bought by CDPQ, is exactly 45 Euro. So the price BBD is paying - 47.5 -  and what CDPQ pays - 44.45 - implies that BBD is paying CDPQ $45M USD as

More importantly is bombardier sp going up after sale and Alstom going down. Or Alstom going up and bombardier down. Or both are going up or both going down. All depends on market. Alstom is gaining market share and eliminating one competitior so sp should go up but they also have more debt as they had to raise money to buy BT. Debt could bring sp down. Bombardier sp could go up as they will

That deal is already baked in the cake. Share price won't move because of it. Feb 11 maybe more action. Might be a short squeeze too we never know because this is one of the most beaten stocks on Canadian markets.

since Jan 2020, Alstom share has been fluctuating between 37 -47 and Alstom BT deal set fixed price of 47 on shares of Alstom givin to bbd as part of proceeds on closing day the heighest ???

I was right and they finally corrected this nonsense. We were getting shares at 47.50€ for something that was 43.83€ in late days. Finally: "Because shares were issued by Alstom following the execution of the SPA, Bombardier's share subscription price was adjusted from {@ @}47.50 per share to {@ @}43.46 per share in accordance with the previously agreed upon anti-dilution adjustment
