Hi takeiteasy3, I would suggest you contact ; TMX Group Ontario Securities Commission The SEC and any other organization that applies to you / your location / and the companies actions and let them know that you would like the actions of Carlisle Management investigated - we all have to let them know we want answers as to why management was not looking at maximizing shareholder value. exactly why I would think they jumped to dilute and R/S its to squash any prospect offers the TSX is full of BOD's just like this one.  dilute (aurico) - R/S -rinse - repeat  (makes them undesirable) why would these guys want to accept or present any offer to shareholders? Only intrest is to preserve their jobs... the system is corrupt complain and make your voice heard if your think ...more

Juniors are essentially in the business of finding a worthwhile project and selling it - THEY WANT TAKEOVERS. Carlisle obviously did otherwise why organise for AuRico, Nord Gold and many others to sign agreements. Management were looking for a deal. But they were on a clock - they had no cash left. AuRico appear to be the only one to come up with an offer. You should not be blind to what Nord ...more

this is not correct, it was stated in the offer if the Aurico deal (dilution) went thru the offer of .096 would be withdrawn

I don't want us shareholders to fight each other - that was not why I came to Stockhouse. I just want everyone to know what I have found out and if they feel like any of this makes sense to write the TMX Group and the OSC asking that they look into what has happened and investigate if shareholders were the top priority in what management has done. It was Carlisle management that told me they ...more

Thanx for the reply - if nothing else I am finding this theraputic ;) I know I may be a little naive as to what I have been told by Nord Gold but this is what they told me, and I passed on to the TMX Group and the OSC ; I understand Carlisle shareholders may be upset with current share price in comparison to what we wanted to offer. Obviously Carlisle management pursued the goal of retaining ...more

6.5? Great now we will all have an odd number of shares and be charged extra to sell them. Again management working like a bunch of idiots. F....................

It is subject to shareholder approval - but with 100m shares in management and AuRico hands it will likely pass. As I said, it doesn't make much difference - although rounding your holdings to a whole number of board lots makes sense and costs very little.

Exclusivity is common practice - the buyer will insist on it and the board will agree if they believe the buyer is acting in good faith and a reasonable deal can be struck. Exclusivity does not prevent other bidders - Nord Gold could have asked for their standstill agreement to be voided back in Sept. Perhaps management didn't feel comfortable with Nord Gold and given what happened after the ...more

Hi hrattle, Nord Gold did ask for the Standstill to be voided / set aside - they also asked for a chance to compete against Aurico beofre a deal was signed - what else could they do ? ( please see a previous post of mine as to their comments they sent me via email ) and we / I have only heard from Nord Gold - what about the other 18 companies - can only wonder if they also asked for their ...more

Dave - I am sure the board would want a competitive situation but I am also sure that the bidders needed to be seen as serious. I can only assume management considered this but can only speculate on why it didn't happen. If AuRico had walked and Nord Gold had then tried to screw us we could have been left with neither. To put it another way "a bird in the hand is better than two in the ...more

- call any director of any ticker and they all tell you the same... "We are progressing towards our goal, preserving cash and working towards shareholder value."  It's like listening to a pre recorded message. normally you see 10:1 R/S or  5:1 or even 20:1  but 6.5:1?  22,904,609 shares  .. amazing how 6.5 goes into Bruce's shares evenly.  ...more
