Canexus Corporate Governance Etc.

Everything anybody needs to know re Canexus’ Corporate Policies and/or BOD/Management Trading Restrictions can be found here;

https://canexus.ca/governance/policies

Everything anybody needs to know re Share Ownership Requirements for BOD members and Management and their current status can be found in detail in the 2015 Information Circular found here;

https://canexus.ca/investors/reports-filings

If after a careful review of the above any Shareholder that feels that he or she has a “legitimate concern” can express it directly;

Communicating with the Board

Shareholders may write to the Board or any member of the Board in care of the following address:
By mail: Canexus Corporation
#2100, 144 – 4th Avenue, SW
Calgary, Alberta, Canada
T2P 3N4
Attention: Corporate Secretary
By email: board@canexus.ca

We receive a number of inquiries on a wide range of subjects. The Board has consulted with management to develop a process to assist in managing inquiries directed to the Board or its members.

Letters and email addressed to the Board, any of its members or the independent directors, as a group, are reviewed to determine if a response from the Board is appropriate.

While the Board oversees management, it does not participate in our day-to-day functions and operations and is not normally in the best position to respond to inquiries on those matters. Those inquiries will be directed to the appropriate personnel for response. The Board has instructed the Corporate Secretary to review all correspondence and, in her discretion, not forward items that are:

• Not relevant to Canexus’ operations, policies or philosophies;
• Commercial in nature; or
• Not appropriate for consideration by the Board.

All inquiries will receive a response from the Board or management. The Corporate Secretary maintains a log of all correspondence sent to Board members. Directors may review the log at any time and request copies of any correspondence received.

Once a year “Shareholders” have the opportunity to express their support or lack thereof for BOD members by voting their shares at the AGM.

Some may find it a bit problematic to “Properly Express Legitimate Concerns” due to the fact that it would be helpful to actually be a Shareholder and require disclosing their True Identity.

It’s so much easier (and safer) to Attack the Ethics of Management, BOD members (and other posters for that matter) either directly or by inference on a Stockhouse Bullboard while hiding behind a Stockhouse username.

These “Petty, Childish Tactics” seem to be employed by “Small Minded” people that have probably lost some money due to bad decisions (which happens to everybody from time to time) or have an “Agenda” of some kind.

Anybody that “Fancies” themselves as a “DIY Investor/Trader” that “Doesn’t Understand the Risk”, “Can’t Accept the Risk” and is “Not Capable of Accepting the Responsibility for Bad Decisions” should rethink their strategy.

“If You Can’t Stand The Heat Stay Out Of The Kitchen”

Some “Seriously Delusional” posters seem to think that they can “Make Themselves Look Good” by attempting to “Make Others Look Bad” and/or launching “Personal Attacks”. The Result is Invariably the Opposite! These same posters get a bit offended when they get a “Taste of Their Own Medicine” and find themselves on the receiving end of a “Personal Attack”.

Personally I attempt (not always successfully) to IGNORE THE GARBAGE posted on these Stockhouse Bullboards in the hope that “Occasionally” someone will post some “Useful, Relevant, Verifiable Information” or an “Opinion” based on an “Intelligent, Rational Analysis/Assessment of ALL the Relevant Facts” regardless of whether it coincides with mine or not.

Blue, Its "nice" that you have these policies, but management doesn't really "follow" the policies, which is really "critical " part of the "policies". In the last 4 months we've seen evidence of management selling their stock ahead of bad news, not reporting trades in a timely manner (5 days), violating the external communications policy and not ...more
