is this being walked up for a sale or are we going to get some  bad news like a new shares offering at a much lower price? thoughts?

No.  The company was insanely cheap before the acquisition was announced. It could be even cheaper after the acquisition when you take into account potential synergies.

It would be misleading to announce a share offering after reading such a statement below.
