Thx g Good cure for insomnia. I scanned it VERY quickly and not much jumped out at me.  Did notice a breakup fee of $180 million should either side decide to back out of the deal.  MM

True. Who needs Sominex? Another thing I noticed - if I read it right - is that they are getting rid of Vantive CEO Chris Toth. I was under the impression he was staying on. I could be wrong, but I read that as referring to Toth's employment as an executive for Baxter.  Sounds like his Long Term Incentive Plan with Baxter will vest according to the terms of his Baxter executive agreement.  It's very unclear what the meaning of that paragraph is so it wouldn't surprise me if Carlyle Group put in their own person to lead Vantive and it also wouldn ...more

Your interpretation is probably right given this quote in Baxter's news release. "The Atmas team is excited to support the growth of the Vantive business under the leadership of Chris Toth.
