I could be wrong, but I read that as referring to Toth's employment as an executive for Baxter.  Sounds like his Long Term Incentive Plan with Baxter will vest according to the terms of his Baxter executive agreement.  It's very unclear what the meaning of that paragraph is so it wouldn't surprise me if Carlyle Group put in their own person to lead Vantive and it also wouldn
