What's this "Paid up capital"? And what does it have to do

with this SIB tender for $12?      Am I going to hit with a "deemed dividend" or something that I'll have to pay taxes on if I tender for $12? 

If I bought my share for $8 and sell for $12.   That's a $4 Capital Gain to report for taxes I think.   But seems more to it I think.

Anyone know?
