Pro Rata Calculation Comparison

Take up 3,375,000 shares.
77,565,602 shares Tendered.

What appears Company's way of calculation Pro Rata:
3,375,000 / 77,565,602 = 4.35%

How I calculated Pro Rata was based on % of each Tender of Total Tendered:

So, if 2 people tendered only  one 1000 and the other 77,564,602 pro rata for each would be:

1000 / 77,565,602 = 0.0000128923 = 0.00128923%
0.00128923% of 3,375,000 = 43.51 shares

77,564,602 / 77,565,602 = 0.999987 =99.9987%
99.9987% of 3,375,000 = 3,374,956.49 shares

Now company's pro rata comparison:
4.35% of 1000 = 43.5 shares!!!!
4.35% of 77,564,602  =  3,374,060.187 !!!!!

WAIT a minute, it works out to be the same!!!!!!!!  Like say WHAT????   What did I do wrong all the times before.  Why it works now, LOL ?????!!!!!!!!!!!

Maybe both calculation works out to be the same because virtually everyone tendered.  Let's try a smaller tender amount of say 3,500,000 shares tendered.   Again 2 people tender, one 1000 share and the other 3,499,000 shares. Now company's Pro Rata:  3,375,000 / 3,500,000 =  96.42857143% 1000 x 96.42857143% = 964.29 shares 3,499,000 x96.42857143% =  3,374 ...more

Notice the Difference in my example the effect of total shares tendered: 1000 share tendered,  one result ends up 964 shares taken up, the other result 43 shares taken up.   Both still win, but if less people tendered the more the "small guy" benefits.   I would have bought more shares if I knew my mistake earlier! I could have been "964 shares out of ...more
