The Debentures will be convertible at the option of the holder into common shares of the Company ("Common Shares") at any time prior to the close of business on the Maturity Date at a conversion price of $2.45 per Common Share (the "Conversion Price").

In other words, this stock wont be going above $2.45 as again stick it to the stockholder again...... If they just held back this stock would be worth much more in the next few months.  

Bad timing , Why now???

...the deal allows for a forced conversion if above $3.43 for 10 days. There will likely be a forced conversion over the short term. Cash is king at this stage of the process. Patience.
