not a shareholder friendly company

voting circular I received today seemed more with granting options to insiders and pay for management.  Any vote not received  is  considered a yes vote. No mention about paying any dividends to shareholders. A reverse split for shareholders in the cards. What is it for the shareholders? zero.  Any new investor should give this company a wide berth.
