NOTICE IS HEREBY GIVEN that an annual and special meeting (the "Meeting") of shareholders of The Futura Loyalty Group Inc. (the "Corporation") will be held at the offices of Wildeboer Dellelce LLP, 365 Bay Street, Suite 800, Toronto, Ontario, Canada at 10:00 a.m. (Toronto time) on Tuesday, June 26, 2012

No extra details about the rollback, only general material. Somewhat disappointing in this regard. 

 

Promote liquidity? (A company having more shares is liquid and not after a rollback), reduce volatility? (after a rollback watch the volatility, if anything a stock becomes more price sensitive and usuallly more volatile), raise any required funding (funding how? with the large debt on the books and no sales momentum)

 

The Corporation currently has 184,915,651 Common Shares issued and outstanding. If approved and implemented, the Share Consolidation will reduce the number of issued and outstanding Common Shares approximately to 4,622,891 assuming a Share Consolidation ratio of one (1) to forty (40). The Corporation wishes to reduce the outstanding Common Share amount to a level more in keeping with its industry peers. The Corporation believes that the Share Consolidation, if implemented, will promote increased liquidity and reduced volatility in the trading of the Corporation’s Common Shares and allow the Corporation to raise required funding for operations

Maybe reference is being made with Points International (PTS) who did their own rollback last year and now have 15 million shares outstanding.   If 1:40 is done, then will give 4.65 million post ...more

ill answer my self......i think we have no choice but to vote for that 1 for 40.....if we dont  there will be even more delays.... if it goes ......its sh....but at least we have a chance to get more money to survive......

I am "For" the  1:40.  It needs to happen and will put FUT in a place where once day profitability will be able to be reached.  I say that as I'm sure with the split they will also clear up some of there debt, raise some money and get the processing division back.  Going to be a long couple of month of trading in FUT though!

Again I ask, what is this processing division?   What do they "process" at this processing division?    No response from the company to my email asking this very question and no response from anyone on this board.   This just seems like another very clear example of the rich getting richer and we get left holding the bill.    I guess it's not a loss ...more

The processing division  is located   on the  BOULEVARD OF BROKEN DREAMS. This is where they process all the  dashed  hopes of this  terd company.  Loyalty is dead  and   proof  of that is in the income statement,  500k  revenue ,1.1  m in losses.   Too   much footwork and expenses for a  business model& ...more

I voted yes for the 1:40. They did not pick the number 40 out of thin air. No rollback, no company, With a rollback there's a chance of better things, but at least there's a chance.

I'm trying to place together where it began to go wrong over the past 4 years. It didn't happen yesterday.   Atlantic Co-op came on board with fanfare, but their departure was never reported. This was with Futura Rewards program I believe. Maybe the first hint of trouble? Maybe they looked for something stronger, so in 2008 Aeroplan came on board. Futura became a ...more
