Pat,
As crazy as it sounds, only undisclosed issues are considered as conflicts. Briscoe appears to have disclosed his ownership in DL from his initial option to purchase. He may have other undisclosed conflicts but the regulators would likely not see one regarding DL. He seems to have the “powder” to make an eventual go private offer, so his involvement does not bother me. Actually quite comforting.

How would one rationalize Briscoe's decision to take GCL private, if at the same time he is selling the stock. Should't he be buying instead? Unless, he wants to keep a lid on the price and keep it from rising, so that he can make a lower offer.

Daniel, Ok, the transaction never happened but the situation was not crystal clean. Have you look at previous business deals by Briscoe? He is buying cheap/depressed companies and flip them. Opportunist. Ideally he would like to buy Colabor below 0.50. Like you said he has the powder but shareholders won't benefit.

Pat, He does not make the rules. I don’t know any investors that don’t like to buy low; including myself. The shareholders determine if the offer is fair. Usually 2/3 have to accept an offer for it to succeed. He would not waste his own money putting forth an offer that he knew would not succeed. IMO, he would be wasting cash if he made an offer without a significant premium to the current price ...more
