questions on this I3 combination...

"New Gran Tierra Shares The adjusted cost base to a Canadian Holder of the New Gran Tierra Shares received under the Scheme will be the average of the cost of all Gran Tierra Shares held at the particular time by such Canadian Holder as capital property. Holding and disposing of New Gran Tierra Shares may have additional tax consequences. Canadian Holders should consult with their own tax advisors having regard to their own circumstances"

Q1) does this mean this is taxable event (old shares deemed sold) when we get the new shares issued in exchange for the old ??


The Acquisition is not a “take-over bid” as defined under Canadian Take-Over Bid Rules.
Q2) does this mean cdn shareholders of GTE don't even get to vote on this combination???
