Why File a Prospective Issue? What is up?

I have one more question that I would like insight on before I decide to buy this stock. Hoping the board can help. Why do people think this company is filing a shelf prospectus to raise all this money? Is it a good sign (future growth opportunities) or is this a make work project (filling out filing paperwork because there was nothing to do in November)? GUD has LOTS of cash money deploying 250-350M could be done within the existing balance sheet without the need to raise all this proposed money. Issuing equity today or in the near future would be quite dilutive to long term holders never good. So why eve file the prospective issue? This leads me back to the belief that they have a very good potential opportunity or simply too much time. Thoughts?

Thanks for the question Schocor - good question. As most here know, I bet on three connected companies.  All three companies have filed a shelf prospectus.  First it was PRN, then ATE and GUD. Filing the prospectus is good planning for acquisition/growth.  Note that GUD need not do anything beyond filing.  They may though ... take advantage of it in the future. With respect ...more

Since when did JG do anything for the benefits of shareholders ? This coming equity raise will be sub $5 and the reason is to let insiders and the Goodman family to increase their holdings . How about a $300 m CD convertible at $4,75 fully taken by Goodman family and friends ..

Nozzpack ... not saying that it couldn't happen. But ... I'm saying you can't show me one time that Goodman didn't follow-up a share offering with the next offering being at a higher share price.  It simply has never happened (in Goodman's 26 years as CEO).  I also think It is a point of pride for Goodman ... to offer at higher share prices - and to participate ...more
