Proxy Voting

I had to phone my broker and wait on hold for about 20 minutes to get a proxy voting number. Was easy to do... though I do have one question if anyone can answer. I voted "Against", but I had to list a "proxy voter", who is designated to vote on my behalf. The default proxies were the company directors. Can the directors just change my vote on a whim becasue I've designated them as my representatives? I have no one else to write on the form (I don't know any dissenter PHYSICALLY going to the Husky meeting)

Number13, did you read Autofocus111 experience with Dissenting??   You might want to take a read and ask Autofocus111 if you have more questions.

Perhaps "dissenting" is the wrong word. I don't know anyone else going to the meeting who will be voting "against" that I can appoint as my proxy.  From what I am reading, it looks like the director would be obligated to vote my share as "against" even if he doesnt support it.  #13

RB Voting No to a meeting resolution is NOT the same as dissenting under section 185. Voting decides if a resolution is adopted or not. If the Yes vote carries, the merger is effected as per the the Plan of Arrangement. Any minority shareholders subsequenlty who refuse to tender shares to the offer (cash, exchange of stock, or whatever the terms of the merger are) are 'squeezed out' in a ...more

Please note I am talking about common shareholders. Per the circular info Oasis posted, if I read it correctly you guys with preferreds will get CVE equivalent preferreds if the yes vote carries in your class, or will keep your HSE preferreds if the no side wins.   >>>If Husky preferred shareholder approval is obtained, each Husky preferred share will be exchanged for one Cenovus ...more

So, basically if you don't Dissent, you will be forced into whatever the vote is.... either convert or not (remain Husky in a subsidiary). This whole process is "unfair" to the Preferreds, IMHO.      So, I'm taking a different route.

If the yes vote wins and the merger is approved, all shareholders are bound to the actions specified in the Plan of Arrangement, with the exception of those shareholders who elect to dissent under ...more

#13, something does not seem right. You stated that you voted your shares by proxy (I presume you logged in with your control number to cast your vote). What I can't understand is Why did you designate the appointees (i.e. the directors)? You voted already!! I'm not sure, however by designated a proxy voter, you're indicating "I Trust This Person or persons To Vote On My Behalf ...more

Tonyde, the form requires you to enter a designated proxy voter. I was going to write "nil", but that's not possible. Someone has to vote your shares at the meeting. However, I do believe the default director is obligated to vote your share as directed. But... if there is another "surprise " resolution, you're basically giving them the power to vote on your behalf ...more

I should start by offering my apologies Number13. I was not aware that this discussion was for Preferred shares. So please disregard my question, asking about the against vote. I would have voted "against" as well, if I owned Preferred. I hold commons. Regarding the vote, I just logged in, I left the box empty and proceeded with my vote. As I understand, don't know for sure, the proxy must vote as you direct him/her to do (For/Against).   As I understand, if you don't vote (direct the proxy), the proxy will vote what management favors which I believe is "For". Tonyde, wouldn't at the meeting the votes will be counted and at that time everyone will know?? Why would the vote be counted later sometime?   Isn't the meeting is to vote and determine the outcome that meeting? "Also at the end of voting you could enter your email to receive a notice when your vote is counted"
