Confused

Thanks to those that have responded to my original query, but I know we've been sold down the creek, and I know we're getting 79%, and I've watched Boyd's vid.... I'm still not clear what we're getting 79% of.... I think it's predicated on the lead up to the announcement when KL was just over fifty and AEM was sixty two or there about. Anyone ???

I didn't think my original question was that difficult, and I find your response to be condescending at best. When the deal was announced, AEM was trading around 62...apparently we're to get 79% of the previous ten days or whatever... that would mean KL would be valued around fifty dollars. KL is now trading around fifty six and AEM around seventy two.....if we have to settle for fifty we& ...more

But AEM wasn't trading at 72 when the deal was announced so is it 57.13 or more like 50.00 as I originally asked ??

It's an all share deal so you get shares not money so .7935 shares of the new company. Your holdings will be worth .7935x the new company's share price x the number of shares you hold.. by the time the deal closes you will have less shares but at a higher share value so you remain about same dollar value. the advantage of this type of deal is that it does not trigger a capital gain for ...more

Thanks for your reply RF..... I guess I haven't identified what I'm looking for properly. I get the 79% of MC which translates into SP, and I understand that a price seems to have been set at the time of the announcement. However, as AEM's SP has gone up and potentially could go a lot higher before this deal is approved are we....KL shareholders still stuck with this lower number  ...more

if you currently hold 100 shares KL WHEN THE DEAL CLOSES and KL is at $60.00/sh you will get 79.35 shares of the new AEM.  The dollar value of the holding will remain the same, your share count will be reducred and the price per share of the new AEM will have risen to $75.61. This will be at closing date and KL and AEM price per share will continue to move until close in roughly that ratio ...more

Hi Stone, My understanding is that the 0.7935 is fixed as per the present deal. It does not make any difference what happens to the share prices now. If the present deal passes, then for each 100 shares of KL that you have, you will receive 79.35 shares of the merged entity. Hope this helps.

Thanks for the reply. I had talked with another KL shareholder and he led me to believe that our shares were to be 79% of AEM share valuation on the day of the announced deal. Then KL goes up beyond that number and needless to say I wanted to get information that confirmed he was full of BS. Thanks for the help...

For each KL share you hold now, you will get 0.7935 shares of AEM.  It is my understanding that you will not get fractional shares and get paid out those in cash.

We will track approximately 79% of AEM share price, up or down till the deal is done then the shares outstanding pretty much double. Then KL shareholders will receive approximately 79 % of an AEM share and move on.. won't really gain or lose just part of a bigger company.

Just going a little tangent here. If you own 100 KL shares you get 79.35 AEM shares but you can't own .35 of an AEM share so my guess is they round down and you lose .35 of an AEM share which is only about $27 but it just adds insult to injury in this already losing deal. Now, if you have 1000 shares of KL you get 793.5 shares of AEM but again you cannot own .5 of an AEM share but do they ...more
