This is a disposition carried out privately. Think about it, who could be the counterparty and why not sell in the public market? One hint and potential answer: If the stock is at the bottom, you would want to exercise your cheap options and grant it to minimize your tax burden.

There is a block of this insider sell which happened in public market in January 2021 when the stock was higher than $1. I am not sure why its reported more than 2 months later and if its in violation of any laws. So, I can believe that part was sold to gain personal profit. All in all, in most cases,this is a dirty game, but one should read between the lines in order to come ahead.
