Ing joins BOD?  how common is that?  I thought BOD was supposed to keep an eye on management to guard the interests of shareholders.

yes, many hats.  I occurs to me: maybe Todd now has enough shares to nominate another BOD member and they picked Ing, which would indicate they thought things are going swimingly. I would hate to be in his shoes.  He could spend his entire career NOT opening mines.
