ANNUAL GENERAL MEETING OF SHAREHOLDERS

The annual general meeting of the shareholders of Novo Resources Corp. will be held at the offices of Owen Bird Law Corporation at 595 Burrard Street, Suite 2900, Vancouver, British Columbia, Canada at 4:00 p.m. (Pacific Daylight Time) on Tuesday, June 28, 2022

1. Number of Directors
To set the number of directors to be elected at the Meeting at five.

2. Election of Directors

c) Quinton Hennigh
d) Michael Spreadborough
e) Amy Jo Stefonick

3. Appointment of Auditor
