#5 :  The issuer must be up-to-date on its continuous disclosure obligations and must reasonably expect to have sufficient funds to meet its business objectives and liquidity requirements for the 12 months following the distribution.

Why didn't they just file a prospectus?

The maximum capital raise under a prospectus exemption is $10 million.

Why no prospectus? No brainer! Prospectus, in addition to being expensive ( because you have to get independent financial DD and advisors) require full transparency about past , present and future behavior. GLTA
