Omnibus Plan
Mgmt altered the option/rsu plan so that it is 20% of the current share count of 120 million (max 24 million options) or 30 million with dilutive securities. The prior plan was 20% of the 80 million share count, pre-raise. Interesting that they can shield themselves of the dilution by ratcheting up the option pool by the % of common share dilution...thereby offloading the full impact of dilution to non-mgmt/insider shareholders...i.e. "us".
There are 10.5 million options outstanding so my understanding is there is 14 (24mm - 10.5mm) available for issuance...or 20 million with dilutive securites (30mm - 10.5mm).
Anyone interpret this differently?
