You are off base on the legal argument.  

 It has to do with the MJDS system. The Canadian raise allows eligible Canadian issuers to make registered public offerings in the United States using a prospectus prepared and reviewed in Canada that is  in accordance with Canadian disclosure requirements. This means mangment can welcome either side of the border into any future offering.  Friend contacted IR this morning  Just FYI
